Use cases
A data room is not an end in itself. It has a different task in every process: in a sale it manages a bidding process, in the holding phase it keeps the property file up to date over years, in financing it supplies the documents for credit review and the determination of the mortgage lending value. All six cases are handled by the same small unit. Whoever sets up the data room also supports it during the process; the contact person is Tobias Streckel. The following use cases describe how index, permissions and procedures differ and what we take on in each case.
Six fields of application, one platform
The technology remains the same. What differs is the index, the permissions concept, the phase logic and the extent of support.
The distinction is not academic. A transaction data room is built towards a cut-off date. It is set up in full, opened to a limited group, extended in phases and archived after closing. A permanent data room in asset management behaves the other way round. It lives for years, grows with the property, has changing users and must be capable of being converted into a sale data room at any time.
Anyone who does not settle this logic at the outset builds the data room a second time later on. The most common case in practice is an archive that has grown up within the portfolio and cannot be used on a sale because its structure, naming and state of completeness do not match the expected index. We therefore clarify before the first upload what purpose the data room serves, which index applies and how the permissions are to be cut.
The same basis applies in all cases. Operation on our own infrastructure in a data centre in Germany, no US cloud, no transfer to third countries. Encryption in transit and at rest, allocation of permissions on the need-to-know principle, watermarks, full-text search with OCR, bulk upload, Q&A module, index export. In addition, a continuously maintained activity log that is available within the application in read-only form and can be exported.
Operation and processing of the documents uploaded take place as processing on behalf of a controller under Article 28 GDPR on the basis of a data processing agreement; the technical and organisational measures under Article 32 GDPR are described there. The scope of our substantive services, such as building the index, allocating the documents, the completeness matrix and supporting the Q&A, is governed separately in the services agreement.
Transaction: acquisition, sale and due diligence
The starting point is the question of the transaction structure. In an asset deal, the real property itself is transferred. The index maps the property level: Grundbuch (land register) and Baulasten (public-law building encumbrances), the chain of permits, technical property documents, leases, operating costs and insurance. In a share deal, the corporate level is added. Articles of association, an uninterrupted chain of shareholdings, shareholder and management resolutions, annual financial statements, tax assessments and tax audit reports, loans and security. The two levels are kept separate and released separately, because they involve different reviewers and different points in time.
Three chapters determine the timetable more often than the rest: tax, environment and special legal relationships attaching to the land. In a share deal the real estate transfer tax history is added, which since the reform of 1 July 2021 has formed the core of the structural review. In the case of Erbbaurechte (heritable building rights), financing also depends on documents that are often missing from the existing archive. Which chapters are involved in detail is set out alongside; the legal and tax assessment remains with your advisers.
The process runs in phases. After the teaser and the NDA, the field of bidders initially receives a reduced set of documents for the red flag review: tenancy schedule, Grundbuch (land register), building permit, schedule of areas, property documents. Only after the indicative offer does full due diligence follow, with the complete contract annexes, the corporate level and the sensitive chapters. Each bidder group sees only its own area; the groups are not visible to one another, nor are they in the Q&A.
We build the index in accordance with the structure customary in the German real estate market and add the chapters that an index dating from 2015 does not contain: ESG and energy, operating cost history, insurance claims history. Before the approach to the market, we prepare a completeness matrix documenting what is available, what is being requested and what deliberately does not exist for the property in question. This list governs the process: gaps become visible before the approach to the market and not only during the ongoing Q&A. For the notarisation, we make the state of the data room available in the version to which the purchase agreement refers, and document it in the archive.

Asset management: the permanent data room across the life cycle
The permanent data room follows a different logic from the transaction data room. It is not optimised for a cut-off date but for continuous updating. Addenda to leases, updated inspection reports, annual service charge statements, amended service provider contracts and ongoing ESG data are filed where they belong in substance, and not in a folder labelled with a year. What is decisive is metadata: property identifier, document class, validity from and to, contracting party, status and confidentiality level.
This makes it possible to handle tasks that a drive alone cannot. Inspection intervals arising from operator responsibility become visible because an end of validity is recorded for every inspection report. Termination and option deadlines under leases and service provider contracts can be evaluated. And the exit is prepared without a new data room being created: using the labelling of the document classes, we generate the transaction index from the ongoing data room and see which chapters are still missing for a sale.
The second recurring occasion is a change of manager. When the property or asset manager changes, the data room is the point of handover. The outgoing service provider uploads its documents, completeness is checked against the catalogue, the new service provider is granted access with its own permissions and the previous one loses access on the cut-off date. The activity log documents who uploaded and retrieved which documents and when. A separate deletion logic applies to tenant files, separate from the retention periods for the other documents; you specify the periods and the criteria.
Defining the boundaries is part of this. The data room is the authoritative property file for managing the portfolio. It does not replace an accounting or archiving system; the retention of tax-relevant documents in accordance with commercial and tax law requirements remains the responsibility of the company.

Financing: mortgage lending, syndicate and covenant reporting
In acquisition financing, the borrower provides the bank with the same property documents as the buyer, but with a different emphasis. What counts first for determining the mortgage lending value is the lease documentation, a schedule of areas prepared in accordance with a recognised calculation method, as-built plans and the building permit with the current use status. Added to this are a technical condition assessment with a CapEx forecast and evidence of insurance. A separate item is the Grundbuch (land register) position with all referenced deeds relating to Section II. If a deed of consent for a registered easement is missing, the valuation report comes to a standstill.
In syndicated financings the permissions structure changes. The arranger runs the process, while the syndicate members and their advisers work in separate groups. Questions are handled through the Q&A rather than through scattered email threads, so that the status of each answer remains visible.
The data room does not come to an end once the loan has been disbursed. The body of documents is kept up to date, and covenant reporting is given a fixed place: interest and debt service cover, loan-to-value, tenancy schedules as at the cut-off date, vacancy and letting reports, annual financial statements and compliance confirmations. The borrower uploads documents for each reporting period; the lender has read access. The activity log documents the time and scope of provision. The credit file itself is maintained by the institution.

Project development: building file, variations and handover to the standing portfolio
The building file is more extensive and more volatile than a file for an existing building. The permit status with its conditions and ancillary provisions, amended building permits (Tekturen), preliminary building rulings and urban development and site servicing agreements form the legal basis. Alongside these run the project costing, cost tracking in accordance with DIN 276, the construction programme and the construction progress and monitoring reports. In a forward deal the buyer examines precisely this level, supplemented by the pre-letting status, the signed leases and the general contractor's creditworthiness.
A separate section is given over to variation management. Variations, notices of concern, notices of disruption, changes to dates and contractual penalties determine the commercial outcome and are later examined by purchasers, lenders and auditors. We file them with date, status and reference to the relevant trade, so that the chain of notification, review, instruction and invoicing remains traceable.
The critical moment is the handover to the property owner (long-term holder). Acceptance records, defects lists with evidence of rectification, as-built documentation, operating manuals and maintenance contracts must be transferred in full. This applies above all to the warranty schedule with the periods governing under the contract, that is Section 634a BGB or Section 13(4) VOB/B where the VOB/B has been incorporated, and to the associated surety bonds. We take the periods from the contracts and make them capable of analysis; the legal assessment remains with your advisers. This is where the later losses arise: current warranty claims become worthless in practice if no one knows any longer when they expire and who holds them. We therefore maintain the building file in such a way that on the day of handover it becomes the property file for the holding phase without any restructuring.

Restructuring and insolvency: realisation of assets under time pressure
The starting position differs fundamentally from an orderly sale. Documents are spread across property management, tax advisers, banks and former service providers, contact persons are no longer with the company, and a tight time frame applies to taking stock. The first step is therefore not marketing but review: what exists, what is missing, what has to be requested from third parties. For this we build an intake area with bulk upload and full-text search across scanned legacy documents, from which the allocation to the property index takes place.
This forms the basis for the realisation side. The realisation of assets itself follows the same mechanisms as any transaction: separate bidder groups, staged release, Q&A with deadlines. The difference lies in the disclosure of the state of the files, which is documented openly rather than suggesting completeness.
The third strand is informing the parties involved. The creditors' committee, banks with a right to separate satisfaction and experts require different extracts from the same documents. These extracts can be separated and each made available in read-only form. The activity log records who had access to which information and when. Once realisation of the assets is complete, a signed archive remains, documenting the state of disclosure.

Funds and investor reporting: acquisition due diligence, committees, depositary
The data room accompanies the life cycle of a fund property from the acquisition review onwards. For submission to the investment committee, property documents, valuation bases, the business plan and the results of the due diligence are made available in a traceable version. The committee members receive their own read-only area with a watermark. Meeting papers, draft resolutions and minutes are held there in an order that remains comprehensible years later.
In day-to-day operation, the data room brings together the documents that are regularly requested by several parties. The external valuers require the tenancy schedule, contract annexes, evidence of floor areas and maintenance planning as at each valuation date. The depositary requires the documents for the ownership register and for transactions requiring consent under Sections 83 and 84 KAGB, for example on acquisition, disposal and encumbrance as well as on amendments to Erbbaurecht agreements. The auditor accesses the same body of documents. Once these requirements have been structured properly, the documents can be provided from the data room as at any cut-off date instead of being compiled again by email.
For investor reporting, a separate area is created for each reporting period: quarterly and annual reports, property reports, valuation results, notices to investors. Access rights are allocated per investor or investor group, so that each party sees only the documents that concern it. Outsourcing to property managers and other service providers can be mapped by having them work in demarcated areas, with their supplies of documents recorded in the activity log. The data room thus supplies the documentation; the regulatory assessment of the processes remains a matter for the company and its advisers.

Questions on the use cases
Can we start with one use case and extend it later?
Yes. The most common route begins with a single sale or financing process. If the data room is built from the outset according to the real estate industry structure, it can then be continued as a permanent data room without rebuilding. The route also works the other way round, see Asset Management.
What happens to the data room once a process has been completed?
You receive an index export and a closed data room archive as a signed package documenting the status of the documents disclosed. It takes the place of the handover on DVD or USB media that used to be customary. The activity log can be exported in addition. The ongoing data room is then either closed or continued as a permanent data room.
Who sets up the data room and who supports it during the process?
